Terms Of Services

The Services provided at DuhaNashrah.AI (“DuhaNashrah,” “we,” “our,” or “us”) are operated by Niku Solution PTE LTD, a company incorporated under the laws of Singapore. By accessing or using the Services, you acknowledge that you are entering into a legally binding agreement with Niku Solution PTE LTD and agree to be bound by these Terms of Service (“Terms”).

 

Please read these Terms carefully. If you do not agree to these Terms, you may not use the Services.

1. ACCEPTANCE OF TERMS

By using DuhaNashrah.AI, you confirm that you are capable of entering into a legally binding agreement. These Terms govern your access and use of our website, mobile applications, online courses, subscription plans, custom projects, and any other services provided by Niku Solution PTE LTD.

2. CHANGES TO TERMS

Niku Solution PTE LTD reserves the right to update, modify, or revise these Terms at any time. Changes will be effective immediately upon posting on our website or through the Services. Continued use of the Services after posting constitutes acceptance of the revised Terms.

3. USER ELIGIBILITY AND CONDUCT

You affirm that you are at least 18 years old or have legal capacity to form a binding contract. You agree to:

  • Use the Services for lawful purposes only.
  • Not engage in any activity that may harm the Services, other users, or our systems.
  • Respect intellectual property rights and not reproduce, distribute, or modify content without authorization.
  • Comply with applicable laws, including Singapore laws and regulations.

4. ACCOUNT REGISTRATION

Certain Services require account registration. You agree to:

  • Provide accurate, complete, and current information.
  • Maintain the confidentiality of your account credentials.
  • Accept responsibility for all activities under your account.

5. FEES AND PAYMENT TERMS

  • DuhaNashrah offers paid Services, including subscriptions and custom projects.
  • You agree to pay all fees associated with the Services you purchase. All payments are in USD.
  • Fees may vary based on location, promotions, or other factors.
  • You authorize Niku Solution PTE LTD to charge your selected payment method and to update your payment details using information from payment providers.
  • Non-payment may result in suspension or removal of access to content.

6. REFUNDS

  • DuhaNashrah.AI provides a 14-day limited refund policy for direct digital purchases.
  • Refunds are not available if:
  • Your account violates these Terms.
  • Abuse of the refund policy is detected.
  • Refunds will be applied to the original payment method; currency fluctuations may affect the refunded amount.
  • Purchases via third-party marketplaces (Apple, Google Play, etc.) are subject to the respective marketplace’s refund policies.

7. SUBSCRIPTION TERMS

  • Subscriptions provide limited, non-transferable access to content during the subscription period.
  • Subscriptions renew automatically unless canceled prior to the end of the term.
  • Automatic renewal fees will be charged using the stored payment method.
  • Price changes will be communicated in advance; continued use constitutes acceptance.
  • Cancellation terminates future renewals but does not refund fees already paid.

8. CUSTOM PROJECTS

  • Custom projects are defined at purchase and delivered according to agreed timelines.
  • Payment for custom projects is due as specified.
  • Refunds are discretionary and dependent on project progress and completion.

9. MENTORED COURSES (BETA)

  • Mentored Courses are pilot programs offering direct instructor interaction.
  • You will receive guidance, feedback on assignments, and peer communication during the course period.
  • Access to instructor feedback is limited to the Mentored Course duration.
  • Niku Solution PTE LTD may modify course structure, content, and feedback policies at its discretion.

10. USAGE LIMITS

  • Some subscription plans include token or usage limits for AI services.
  • Limits reset each billing cycle.
  • Exceeding limits may result in automatic service downgrade or access restriction.
  • Niku Solution PTE LTD may adjust limits to maintain service performance.

11. SMS AND MARKETING CONSENT

  • By opting in during checkout, you consent to receive marketing and transactional SMS or email messages.
  • You can opt out via STOP commands for SMS or unsubscribe links in emails.
  • Message frequency varies; standard messaging rates apply.

12. INTELLECTUAL PROPERTY

  • All content, materials, and software on DuhaNashrah.AI are owned by Niku Solution PTE LTD or its licensors.
  • You may not copy, distribute, or create derivative works without explicit authorization.

13. THIRD-PARTY CONTENT

  • Services may link to third-party websites or content.
  • We do not control or endorse third-party content and disclaim responsibility for its accuracy or compliance.

14. DISCLAIMER OF WARRANTIES

  • Services are provided “as is” and “as available.”
  • Niku Solution PTE LTD does not guarantee uninterrupted or error-free services.
  • We disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose.

15. LIMITATION OF LIABILITY

  • Niku Solution PTE LTD and affiliates shall not be liable for indirect, incidental, or consequential damages.
  • Total liability is limited to the amount you paid in the last six months or USD 100, whichever is greater.

16. INDEMNIFICATION

You agree to indemnify and hold harmless Niku Solution PTE LTD, its affiliates, officers, employees, and agents from claims, damages, or expenses arising from your violation of these Terms or misuse of the Services.

17. GOVERNING LAW

  • These Terms are governed by the laws of Singapore.
  • Non-arbitrable disputes shall be filed exclusively in the courts of Singapore.

18. DISPUTE RESOLUTION AND ARBITRATION

  • Disputes will be resolved by binding arbitration in Singapore under local arbitration rules.
  • You waive any right to a jury trial or class action.
  • Exceptions include claims for intellectual property infringement or injunctive relief.
  • Arbitration fees will be handled according to the arbitration rules, with provisions for frivolous claims.

19. LIMITATION ON TIME TO FILE CLAIMS

Any claims arising out of these Terms must be filed within one year of the event. Claims filed after this period are permanently barred.

20. NO CLASS ACTIONS

  • Claims may only be brought in an individual capacity.
  • Arbitrators may not consolidate multiple claims or preside over class proceedings without consent.

21. WAIVER AND SEVERABILITY

  • Failure to enforce any provision does not constitute a waiver of rights.
  • If any provision is invalid or unenforceable, the remainder shall remain in effect.

22. ASSIGNMENT

  • You may not assign your rights without written consent.
  • Niku Solution PTE LTD may assign or transfer these Terms without restriction.

23. PRIVACY POLICY

  • Use of DuhaNashrah.AI is subject to our Privacy Policy, detailing data collection, use, and protection practices.

24. THIRD-PARTY MARKETPLACES

  • Purchases via app stores are subject to the marketplace’s terms.
  • Niku Solution PTE LTD disclaims responsibility for their refund and service policies.

25. ENTIRE AGREEMENT

These Terms constitute the entire agreement between you and Niku Solution PTE LTD and supersede prior agreements or communications regarding the Services.

26. LANGUAGE

The official language of these Terms is English. Any translation is for convenience; in case of conflict, the English version controls.
